OverviewUnder the general direction of the VP and Senior Counsel
responsible for real estate acquisitions, while simultaneously
supporting the Investor Relations Department at the direction of
the General Counsel, the job of the Paralegal - Real Estate and
Investor Relations is to provide legal support to Redwood's
Acquisitions function, Investor Relations function, and related
parts of the business. Relevant legal areas include (i) purchase
agreements, title and survey matters, closings, easement
drafting/review, and related contracts, related to the purchase and
development of real estate, and (ii) drafting Private Placement
Memorandums to aid the Investor Relations Department in securing
equity investments. All Redwood employees are required to conduct
organizational business and practices in accordance with Redwood
policies. Essential Duties & Responsibilities
- Review, draft and negotiate letters of intent, purchase
agreements and all amendments thereto.
- Develop and update standardized forms for frequently used
documents, such as purchase agreements, deeds, easements, letter
agreements, title and survey letters, and escrow instruction
letters.
- Review title commitments, ALTA surveys, and title policies and
work with third parties to resolve issues.
- Draft and negotiate development-related documents, including
sign leases, easements, reciprocal easement agreements and
declarations.
- Discern whether lender consent is required for recordable
documents, and, if so, obtain required lender consent.
- Draft, negotiate and review documents that are required or
desired for each acquisition, including deeds, settlement
statements, resolutions/certificates and escrow instructions.
- Coordinate both internally and externally to ensure that all
documents, funds and other closing requirements are final and
available on the scheduled closing date.
- Coordinate execution and recording of documents, and be
responsible for circulating and saving all final, recorded
documents.
- Work with and manage outside counsel in connection with real
estate acquisition matters.
- Track deadlines, outstanding items, and receipt of final
documents utilizing multiple different software and tracking
systems. .
- Create and implement policies and procedures, including
playbooks for frequently negotiated documents.
- Draft Private Placement Memorandums, utilizing knowledge of the
project gained through the purchase/development of the real estate
as well as via collaboration with other departments within Redwood,
to aid the Investor Relations team in securing equity
investments.
- Communicate openly and frequently, as needed, to prioritize
tasks and allocation of working hours between real estate
acquisition functions of the job and investor relations functions
of the job.
- Provide advice, counsel, and detailed analysis with respect to
relevant laws and regulations.
- Monitor developments in laws and regulations affecting the
Acquisitions function, advise appropriate stakeholders of such
developments, and make recommendations regarding action(s) in
response to such developments.
- All other duties, as assigned. Required Qualifications
- Bachelor's degree or paralegal certificate from an accredited
institution.
- At least three (3) to five (5) years of pertinent legal
experience. Preferred Qualifications
- Prior law firm and in-house legal experience.
- Being a notary public.
- Experience with Dynamics365 software. Skills and Abilities
- Strong attention to detail and comfort with data.
- Ability to build relationships with a wide variety of Company
employees and stakeholders.
- Highly motivated and responsive with excellent time management
skills, the ability to work under pressure, multi-task, and
prioritize.
- Demonstrated analytical skills, problem-solving ability, good
judgment, and business acumen.
- Ability to maintain confidentiality and exercise
discretion.
- General computer proficiency, including Adobe, Microsoft Office
Suite, and SharePoint. Working ConditionsThis job operates in a
professional office environment, which is located in Independence,
Ohio. In this role, the employee will routinely use standard office
equipment such as computers, desk phones, photocopiers, etc. The
employee is frequently required to sit, stand, bend and walk with
the ability to lift 20 lbs. where applicable.
